Terms of Service

These terms govern your use of Aulay. Please read them: they describe what the service does today, what it does not do, and where responsibility sits when an autonomous agent writes code on your machines.

1. Who you are contracting with

Aulay is operated by Andrew MacAulay, a sole trader trading as Aulay, based in Nova Scotia, Canada (“Aulay”, “we”, “us”). You can reach us at hello@aulay.io; a postal address is available on request.

“You” means the individual who holds the account. By creating an account, or by using Aulay, you agree to these terms. If you do not agree, do not use the service.

2. What Aulay is

Aulay is a control plane for coding agents. It gives you one authenticated view of every agent session running across the machines you own, keeps those sessions alive across restarts and disconnections, and lets you attach to them from a browser, a desktop app, or a phone.

Aulay requires at least one machine of your own. Agent sessions run on a runtime you install and control — your Mac, your VPS, your home server. Aulay does not currently provide compute. If you have no machine to pair, Aulay cannot run anything for you. The “Cloud” and “Team” plans shown in the product as “coming soon” are not being sold and form no part of this agreement.

3. Early access and service level

Aulay is early-access software. We make no availability commitment and offer no service level agreement. Features may change or be removed. Sessions may be interrupted by deployments. We may need to take the service down without notice.

This is not boilerplate hedging: Aulay runs on a small, single-region cluster operated by one person. Treat it as a tool that helps you work, not as infrastructure you can depend on being up at three in the morning.

4. Your account

  • You must be at least 16 years old and provide accurate registration information.
  • You are responsible for everything that happens under your account, including anything an agent does while acting on your behalf.
  • Keep your password and access tokens confidential. Tell us promptly at security@aulay.io if you believe your account has been compromised.
  • Accounts are personal. Do not share credentials or resell access.

5. You bring your own model provider

This is the most important clause in this document, so we have given it its own section.

Aulay does not provide an AI model and does not resell model access. Agent work is performed by third-party command-line tools that run on your machine — Claude Code, Codex, Cursor Agent, OpenCode and others — signed in with your accounts and billed to you by those providers. Accordingly:

  • Your use of each provider is governed by that provider’s own terms and privacy policy, not by ours.
  • All charges those providers levy are yours. Aulay has no visibility into and no control over your model spend, and cannot cap it.
  • Your prompts and source code are transmitted to those providers. We explain exactly how in AI, your code, and model providers.
  • If you use the Cursor Cloud Agents feature, Cursor clones your repository into Cursor’s own cloud infrastructure and may open pull requests against it. That processing is between you and Cursor.

6. Your content and your code

You keep every right you have in your code, prompts, and other content. We claim no ownership of it. We do not use it to train models, and we operate no model training of any kind.

You grant us only the narrow licence needed to run the service: to store, transmit and display your content so that we can show you your sessions, relay agent traffic, and keep transcripts you can come back to. That licence ends when the content is deleted.

You are responsible for having the right to use any repository you connect, and for the content of anything you send through the service.

7. Agents act on your instructions, on your machines

Aulay starts and supervises autonomous processes that read, write and execute code on computers you control, and that can commit and push to repositories you connect. Those processes are not deterministic and will sometimes do the wrong thing.

Review what an agent produces before you rely on it. Use version control, keep backups, and do not point an agent at anything you cannot afford to have changed. We are not responsible for what an agent does to your machines, your repositories, or your data.

8. Acceptable use

You agree not to use Aulay to:

  • break any applicable law, or infringe anyone’s rights;
  • access, probe or interfere with any system you are not authorised to access, whether ours or a third party’s;
  • circumvent authentication, rate limits, quotas, or the boundaries between accounts;
  • run workloads that are not development work — cryptocurrency mining, bulk scraping, proxying unrelated traffic, or distributing malware;
  • send unsolicited messages, or use the service to harass, defame or endanger anyone;
  • generate material that sexually exploits children, incites violence, or is otherwise unlawful;
  • resell, sublicense or provide the service to third parties as though it were your own.

We may suspend or terminate an account that breaches this section, and where there is a risk of harm we may do so immediately and without notice. Please report abuse to hello@aulay.io.

9. Subscription, price and payment

Aulay is sold as one plan, Remote, at US$10.00 per month, billed monthly in advance and renewing automatically until cancelled. There is no free trial.

Payments are processed by Stripe. We never see or store your card details. You authorise recurring charges until you cancel, and you agree that Aulay is a digital service supplied immediately on subscription.

We may change the price with at least 30 days’ notice by email. If you do not accept a price change, cancel before it takes effect.

10. Suspension and termination

You may stop using Aulay at any time; cancelling your subscription is described in Refunds and Cancellation, and deleting your account entirely is described in the Privacy Policy.

We may suspend or terminate your account if you breach these terms, if your payment fails and remains unpaid, or if we are required to by law. If we terminate your account other than for breach, we will refund any unused portion of the current billing period.

On termination your access ends and your data is deleted in accordance with the Data Retention schedule. Export anything you want to keep first.

11. No warranty

Aulay is provided “as is”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any agent output will be correct, secure, or suitable for use.

12. Limitation of liability

To the fullest extent the law allows, our total liability to you for all claims arising out of or relating to Aulay is limited to the greater of the amounts you paid us in the twelve months before the claim arose, or US$100.

We are not liable for indirect or consequential loss, loss of profit, loss of data, loss of code, or business interruption, including loss caused by anything an agent did.

Nothing in these terms limits liability that cannot be limited by law. If you are a consumer, you keep all rights you have under consumer protection legislation in your jurisdiction, and nothing here affects them.

13. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from content you submit, or from your infringement of a third party’s rights.

14. Business use and data protection

Aulay is offered to you for your own use. It is not currently offered as a service for processing personal data on behalf of a third party, and we do not enter into data processing agreements at this time. If you need one, write to privacy@aulay.io and we will tell you honestly whether we can meet your requirements.

15. Changes to these terms

We may change these terms. For material changes we will email the address on your account at least 30 days before they take effect, and the version number and effective date at the top of this page will change. Continuing to use Aulay after that date means you accept the new terms. If you do not, cancel your subscription before they take effect.

16. Governing law

These terms are governed by the laws of Nova Scotia, Canada, and the courts there have jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of the mandatory laws of your own country.

17. General

  • If any provision is held unenforceable, the rest remains in force.
  • Our not enforcing a right is not a waiver of it.
  • You may not transfer your account or these terms without our consent. We may transfer them on notice, for example if the service is acquired.
  • These terms, together with the documents they link to, are the whole agreement between us about Aulay.
